Conyers Dill & Pearman is providing Bermuda advice to ChipMOS Technologies Inc. (“ChipMOS Taiwan”) in connection with its merger with ChipMOS Technologies (Bermuda) Ltd. (“IMOS”). As a result of the merger, IMOS will be merged into ChipMOS Taiwan (which will be the surviving entity) and IMOS shareholders will receive cash and American Depository Shares (“ADS”) representing shares of ChipMOS Taiwan in exchange for their IMOS shares. ChipMOS Taiwan will establish a new American Depositary Receipt program to facilitate the merger and to foster ongoing market liquidity of its shares and the new ADSs to be issued as part of the consideration for the merger with IMOS.
